Instructor Terms of Use

Skillpayy Academy is operated by Levo Technology Ltd (“Skillpayy”, “we”, “us”). These Terms explain the relationship between Skillpayy and instructors who publish or teach courses on our platform.

An instructor is any individual or business that provides courses or learning materials through Skillpayy Academy.

• You must be at least 18 years old and legally able to enter this agreement.
• You must provide accurate personal, business, and payment information.
• Skillpayy may verify your identity, skills, or credentials before approving your courses.
• You are an independent instructor, not an employee of Skillpayy.
• You may teach on other platforms, provided you comply with these Terms.
• You are responsible for your own tools, equipment, insurance, and any licences required for your work.

Instructors may submit quick lessons, crash courses, and full courses for review.

• Skillpayy may approve, request changes to, or reject submitted courses.
• You may publish and manage your courses yourself where the platform supports it.
• If you ask Skillpayy to publish your existing videos or courses, you authorise us to use the materials you provide.
• You confirm that you have the necessary rights and permissions to use all submitted materials.
• Course prices will be agreed with you or selected within the options available on the platform.
• Skillpayy manages the platform, enrolments, course hosting, certificates, and general learner support.
• We may remove or update courses that violate these Terms or no longer meet our standards.

You agree to:

• Provide useful, accurate, and well-structured lessons.
• Ensure your videos and audio are clear enough for learners to follow.
• Include relevant practical tasks and safety instructions where necessary.
• Respect copyright and the rights of other people.
• Avoid misleading claims about your qualifications, skills, or course outcomes.
• Respond to learner questions reasonably and report errors or safety concerns promptly.

You must not use your courses to direct learners to make payments outside Skillpayy for Academy courses or collect their personal information for unauthorised purposes.

For every paid course enrolment, the net revenue will be shared as follows:

Net revenue means the amount remaining after payment processing fees, applicable taxes, approved refunds, and chargebacks have been deducted from the amount paid by the learner.

Skillpayy’s 10% service fee covers platform operations, course hosting, certificates, learner support, and maintenance.

If a course is sold at a discounted price, the revenue share will be calculated using the amount the learner actually pays, after the applicable deductions.

Skillpayy will give instructors at least 30 days’ written notice before changing the revenue-sharing percentages. Changes will apply only to sales made after the notice period.

Skillpayy will pay instructors twice a month:

• Payments will be made in Nigerian Naira (₦) by bank transfer unless another method is agreed in writing.
• The minimum payout is ₦5,000. Smaller balances will roll over to the next payout period.
• You are responsible for providing correct bank details.
• Skillpayy will provide a payment statement showing your sales, deductions, and earnings.
• You should report payment disputes within 30 days of receiving your statement.
• You are responsible for taxes on your earnings. Skillpayy may make legally required deductions.

If a learner receives a refund or a payment is reversed, the corresponding instructor earnings may be deducted from your balance or future payouts.

Skillpayy may temporarily withhold payments on transactions reasonably suspected of fraud while investigating the issue.

You retain ownership of the videos, images, lessons, and other original materials you create or provide.

By publishing a course on Skillpayy Academy, you grant Skillpayy a worldwide, non-exclusive, royalty-free licence to host, store, display, stream, and distribute your course materials through the platform for learning purposes.

This licence continues while your course is published and for a reasonable period afterwards to support existing learners and maintain necessary records.

You confirm that you have permission to use all materials in your courses, including music, images, footage, and third-party content.

If your content infringes another person’s rights, you must cooperate with Skillpayy to resolve the issue and may be responsible for losses arising from your breach of these Terms, subject to applicable law.

Skillpayy retains ownership of its name, logos, software, platform design, certificates, and other materials it creates.

You may continue teaching similar courses elsewhere, provided you respect Skillpayy’s intellectual property and these Terms.

You give Skillpayy permission to use your name, profile picture, biography, credentials, and course previews to promote Skillpayy Academy and its services.

This may include using your materials on our website, social media, advertisements, email campaigns, and promotional presentations.

We may edit or resize promotional materials to fit different formats, but we will not knowingly present them in a misleading way.

This permission is free of charge and does not transfer ownership of your content to Skillpayy.

If you close your instructor account and request in writing that we stop using your content for promotion, we will stop creating new promotions using that content and remove it from active campaigns within 60 days where reasonably possible. Materials already printed, published, or otherwise difficult to recall may remain available.

You agree to treat learners, other instructors, and Skillpayy staff respectfully.

You must not:

• Harass, threaten, discriminate against, or abuse anyone.
• Misrepresent your qualifications or experience.
• Manipulate course reviews, ratings, or enrolment numbers.
• Encourage learners to pay outside Skillpayy for Academy courses.
• Misuse the platform or engage in fraudulent activities.

Skillpayy may remove content or suspend an instructor account that violates these rules.

Learner information accessed through Skillpayy Academy must be kept confidential and secure.

You may use learner information only to deliver and support your courses through the platform. You must not use it for unauthorised marketing or share it with others without permission.

Skillpayy handles personal information in accordance with its Privacy Policy and applicable Nigerian data protection laws.

You agree not to disclose confidential business information shared by Skillpayy, including unpublished features, business plans, and non-public operational information, except where disclosure is legally required.

Skillpayy aims to keep the platform available but does not guarantee uninterrupted service, a particular number of students, or any level of earnings.

To the extent permitted by law, Skillpayy is not responsible for indirect or consequential losses, including lost profits or business opportunities.

Our total liability to you under these Terms will not exceed the amount paid to you during the 12 months before the claim, except where applicable law requires otherwise.

Nothing in these Terms excludes liability that cannot legally be excluded.

You may stop publishing courses and close your instructor account by giving 30 days’ written notice to admin@skillpayy.com.

Skillpayy may suspend or terminate your account immediately in cases involving fraud, unlawful or unsafe content, serious breaches of these Terms, or conduct that puts learners or the platform at risk.

When an account is closed:

• Skillpayy may unpublish your courses after allowing existing learners a reasonable period to complete them, where practical.
• Outstanding earnings will be paid in accordance with these Terms, subject to valid deductions and applicable law.
• You may request the return or deletion of your materials, subject to legal and record-keeping requirements.
• Provisions concerning payments, intellectual property, marketing permissions, confidentiality, liability, and disputes will continue to apply where necessary.

These Terms are governed by the laws of the Federal Republic of Nigeria.

If a dispute arises, both parties will first try to resolve it through good-faith discussions within 30 days. If unsuccessful, the dispute may be referred to mediation and then to the appropriate Nigerian courts.

Skillpayy may update these Terms as the platform develops. We will notify instructors of significant changes by email or through the platform where appropriate.

Continued use of the platform after changes take effect means you accept the updated Terms, subject to applicable law.

These Terms operate alongside the Skillpayy Academy Terms & Conditions, Privacy Policy, and any separate written instructor agreement. Where a signed written agreement expressly conflicts with these Terms, the signed agreement will take priority for that conflict.

If any provision is found unenforceable, the remaining provisions will continue to apply.
